Zerne is a diversified holding company. Governance is built around a deliberate split: central where it creates leverage, independent where it creates speed. The Group sets capital allocation, board-level oversight, and shared infrastructure; each subsidiary runs its own CEO, P&L, and brand.
Board oversight
The Group board sets long-term strategy, approves capital allocation across subsidiaries, and holds each company accountable for the return on the capital it draws. Subsidiary performance is reported against agreed milestones, not against short-cycle targets that compromise how the businesses are built.
Central capital allocation
Capital is committed at the centre and allocated by the board against a long-term strategy — not deployed opportunistically. Each subsidiary deploys its allocation against its own P&L and roadmap, accountable for the return on what it draws. Returns compound at the centre and are redeployed into the next institution Zerne builds.
Independent subsidiary execution
Each company — Zerne Capital, Zerne Technologies, Zerne Properties — runs its own CEO, board accountability, brand, and customer relationships. The Group aligns strategy and capital from the centre but does not micromanage the people closest to the market.
Shared back-office controls
Legal, compliance, finance, and talent sit at the centre, so every subsidiary starts with institutional-grade foundations instead of rebuilding them. Central functions set the controls; subsidiaries apply them in their markets. See the Compliance page for the regulatory and controls framework.
Reporting and audit
The Group maintains financial reporting, audit, and treasury functions at the centre. Subsidiary results consolidate into Group reporting, and the Group CFO is responsible for financial governance across all entities.
Conflicts of interest
Group officers and subsidiary leaders are expected to disclose interests that could conflict with their duties. The Group manages related-party transactions and sister-company arrangements (for example, between Zerne Capital and Lendarsh Finance, or Zerne Properties and Helperstone Cities) on arm's-length terms.
