Compliance at Zerne

Zerne operates across regulated sectors in Nigeria — financial services, technology, and real estate. Compliance is set at the Group level and applied by each subsidiary in its market. This page summarises the framework; it is not a legal representation about any specific subsidiary's licences.
Regulatory posture
Each subsidiary is responsible for the approvals and registrations relevant to its business. The Group engages with Nigerian regulators and registries appropriate to its activities, including:
- Financial services — products offered by Zerne Capital are subject to applicable Central Bank of Nigeria (CBN) rules and consumer-credit regulation.
- Capital markets / corporate — corporate registrations with the Corporate Affairs Commission (CAC) and tax obligations with the Federal Inland Revenue Service (FIRS).
- Real estate — land acquisitions and development through Zerne Properties follow Lagos State and relevant state land and property regulations.
- Technology — Zerne Technologies builds and operates platforms that process financial and personal data, and is subject to the data-protection framework below.
Anti-bribery and anti-corruption
Zerne does not offer, accept, or tolerate bribes, kickbacks, or any improper advantage in any form, whether in dealings with public officials or private parties. Subsidiaries are expected to maintain controls and training consistent with this standard.
Anti-money-laundering and KYC
Where a subsidiary provides credit or moves money — primarily Zerne Capital — it applies customer due diligence and ongoing monitoring appropriate to the customer and the transaction. This includes verifying identity, screening against applicable lists, and reporting where required. Zerne Capital's responsible-underwriting approach uses real income data, which also supports AML/KYC objectives.
Data protection
Personal data is handled in line with the Nigeria Data Protection Act and the Nigeria Data Protection Commission's guidance. The Group's practices are described in our Privacy Policy. Subsidiaries that operate their own digital services maintain their own data-protection practices consistent with the law.
Whistleblowing and reporting
Anyone who becomes aware of a compliance breach, fraud, or wrongdoing at Zerne can raise it in confidence. Reports can be made to hello@zernegroup.com. Retaliation against a good-faith reporter is not tolerated.
